(1) This Act may be cited as the Churches Incorporation (Amendment) Act, 2025. The Churches Incorporation Act (2007 Revision), in this Act referred to as the \u201cprincipal Act\u201d, is amended by repealing section 4 and substituting the following section \u2014 I Assent, Jane Owen Governor Date: 15th July, 2025 Churches Incorporation (Amendment) Act, 2025 \u201cConstitution of corporation 4. (1) The persons collectively holding the offices of Chairman, Secretary, Treasurer within the corporation and any other persons appointed to the board of the corporation, in such manner as the corporation determines in its documented bye-laws, and who are also members, are declared and appointed a corporation or body corporate to have continuance forever and perpetual succession by the name of the Agape Family Worship Centre and possessed of a corporate seal, if the corporation elects to have a seal, and by that name may sue and be sued in all Courts in the Islands. (2) No act or proceeding of the corporation shall be invalidated by reason of any vacancy in the body or in any of the offices mentioned in subsection (1) or by any defect in the appointment of any person to any such office. (3) The seal of the corporation, if the corporation elects to have one, shall be of such design and pattern as the corporation may, from time to time, determine. (4) On the recording in the Public Recorder Office of a certificate under the seal of the corporation, if the corporation elects to have a seal, the person named in the certificate shall be deemed to be the holder of the office named on the certificate until the recording or lodging of a certificate of the resignation or termination of the said appointee or the appointment of another person to such office.\u201d.\", \"element\": \"section\", \"heading\": null}, {\"eId\": \"sec_3\", \"num\": \"3.\", \"text\": \"Repeal of section 5 - corporate seal 3. The principal Act is amended by inserting after section 12 the following section \u2014 \u201cAssets and income of the Agape Family Worship Centre 12A. (1) The assets and income of the corporation shall be applied exclusively in the furtherance of the purposes of the corporation and no portion of the assets and income of the corporation shall be distributed as profit or dividend directly or indirectly to any member of the corporation, unless the distribution is intended for the legitimate purpose of compensating a person for services to further the activities of the corporation or paying for expenses incurred on behalf of the corporation. (2) Nothing in this section shall prevent the payment, in good faith, of \u2014 (a) reasonable and proper remuneration to any officer or employee of the corporation or to any member of the corporation, in return for any services actually rendered to the corporation; (b) the payment of interest on money lent by any member of the corporation at a rate per year \u2014 (i) not exceeding two per cent less than the base lending rate prescribed for the time being by a clearing bank selected by the committee or three per cent, whichever is greater; or (ii) at a normal commercial rate; or (c) reasonable and proper rent for premises demised or let by any member of the corporation or of its board of officers for the purposes of the corporation. Churches Incorporation (Amendment) Act, 2025 (3) Any money raised by the corporation or the Church shall be applied to the specific purpose for which it was raised and such purposes may include the charitable aid of a member of the Church. The principal Act is amended by inserting after section 22 the following section \u2014 \u201cAssets and income of the Anglican Church of the Cayman Islands 22A. The principal Act is amended in section 30 as follows \u2014 (a) by repealing subsection (1) and substituting the following subsections \u2014 \u201c(1) The persons holding the office of President, Executive Secretary, Chief Financial Officer and any other persons who are appointed to the Executive Committee are hereby declared to be a corporation, and each person holding such office or so appointed shall be a member of the corporation. (1A) The corporation shall have continuance forever and perpetual succession by the name of \u201cthe Cayman Islands Conference of Seventh-day Adventists\u201d and possessed of a corporate seal, if the corporation elects to have a seal, and by that name may sue and be sued in all courts in the Cayman Islands. (1B) No deed or document purporting to be executed by the corporation shall be of any force or validity unless it is sealed with the corporate seal, if the corporation elects to have a seal, and signed by any two of the persons listed below \u2014 Churches Incorporation (Amendment) Act, 2025 (a) President of Cayman Islands Conference of Seventh-day Adventists; (b) Executive Secretary of the Cayman Islands Conference of Seventh-day Adventists; or (c) the Chief Financial Officer of the Cayman Islands Conference of Seventh-day Adventists.\u201d; and (b) in subsections (3) and (4), by inserting after the words \u201cseal of the corporation\u201d, wherever they appear, the words \u201c, if the corporation elects to have a seal,\u201d.\", \"element\": \"section\", \"heading\": null}, {\"eId\": \"sec_14\", \"num\": \"14.\", \"text\": \"Insertion of sections 31A and 31B - bye-laws; liability 14. The principal Act is amended by inserting after section 31 the following sections \u2014 \u201cBye-laws 31A. (1) In respect of all matters within the province or discretion, or subject to the election, decision, control or management of the corporation, it shall be lawful for the Church in a meeting to agree the form of bye-laws which governs and to make such rules, in harmony with the purposes of the corporation \u2014 (a) for convening and adjourning the meetings of the corporation; (b) for conducting business; (c) for carrying into effect the trust and powers vested in or conferred on the corporation; (d) for recording its proceedings; and (e) generally for the carrying out of the objects of the corporation, and to revoke, alter add or modify all or any of the bye-laws with the approval of the Inter-American Division of Seventh-day Adventists. (2) The bye-laws in force shall be binding on the members of the corporation. Liability 31B.(1) No member of the corporation shall be in any way personally responsible as such or as a trustee of any of the lands, hereditament, goods, chattels or effects for the time being vested in the corporation, for or in respect of any debt due, owing or accruing, on or in reference to such trust property, nor for any involuntary loss suffered by the corporation, nor for more money than shall come into the member\u2019s hands, nor for any injury which may be done by others to the said trust property or any parts thereof. TO PROVIDE THAT INCOME AND ASSETS OF EACH CHURCH SHALL\nBE APPLIED EXCLUSIVELY FOR THE FURTHERANCE OF THE CHURCH'S\nPURPOSES; AND FOR INCIDENTAL AND CONNECTED PURPOSES\nENACTED by the Legislature of the Cayman Islands.\n1.\nShort title and commencement\n1.\n(1) This Act may be cited as the Churches Incorporation (Amendment) Act, 2025.\n(2) This Act shall come into force on such date as may be appointed by Order made\nby the Cabinet.\n2.\nRepeal and substitution of section 4 - constitution of corporation\n2.\nThe Churches Incorporation Act (2007 Revision), in this Act referred to as the\n\u201cprincipal Act\u201d, is amended by repealing section 4 and substituting the following\nsection \u2014\n(Act 7 of 2025)\nI Assent,\nJane Owen\nGovernor\nDate: 15th July, 2025\n\nSection 3\nChurches Incorporation (Amendment) Act, 2025\n\nPage 6\nAct 7 of 2025\nc\n\n\u201cConstitution of corporation\n4.\n(1) The persons collectively holding the offices of Chairman, Secretary,\nTreasurer within the corporation and any other persons appointed to\nthe board of the corporation, in such manner as the corporation\ndetermines in its documented bye-laws, and who are also members,\nare declared and appointed a corporation or body corporate to have\ncontinuance forever and perpetual succession by the name of the\nAgape Family Worship Centre and possessed of a corporate seal, if\nthe corporation elects to have a seal, and by that name may sue and\nbe sued in all Courts in the Islands.\n(2) No act or proceeding of the corporation shall be invalidated by reason\nof any vacancy in the body or in any of the offices mentioned in\nsubsection (1) or by any defect in the appointment of any person to\nany such office.\n(3) The seal of the corporation, if the corporation elects to have one, shall\nbe of such design and pattern as the corporation may, from time to\ntime, determine.\n(4) On the recording in the Public Recorder Office of a certificate under\nthe seal of the corporation, if the corporation elects to have a seal, the\nperson named in the certificate shall be deemed to be the holder of\nthe office named on the certificate until the recording or lodging of a\ncertificate of the resignation or termination of the said appointee or\nthe appointment of another person to such office.\u201d.\n3.\nRepeal of section 5 - corporate seal\n3.\nThe principal Act is amended by repealing section 5.\n4.\nAmendment of section 8 - power of corporation\n4.\nThe principal Act is amended in section 8 as follows \u2014\n(a)\nin paragraph (c), by deleting the words \u201csuch securities;\u201d and substituting\nthe words \u201csuch securities; and\u201d;\n(b) in paragraph (d), by deleting the words \u201csuch appointment; and\u201d and\nsubstituting the words \u201csuch appointment.\u201d; and\n(c)\nby repealing paragraph (e).\n5.\nAmendment of section 9 - church property vested in corporation\n5.\nThe principal Act is amended in section 9 as follows \u2014\n(a)\nin subsection (1), by deleting the words \u201c(including Registration Section\nGeorge Town Central Block 14CJ Parcel 107)\u201d;\n(b) in subsection (2), by deleting the words \u201cheld by, is\u201d; and\n\nChurches Incorporation (Amendment) Act, 2025\nSection 6\n\nc\nAct 7 of 2025\nPage 7\n\n(c)\nby inserting after subsection (2) the following subsections \u2014\n\u201c(3) The following is the list of lands and hereditaments that are the\nsubject of subsection (1) \u2014\nRegistration Section\nBlock\nParcel\nSouth Sound\n15C\n24REM1\n(4) The corporation is not liable for the debts or liabilities of any\nsubsidiary companies or any companies in which the corporation\nmay have shares unless specifically contracted otherwise in writing\nby the corporation.\u201d.\n6.\nInsertion of section 12A -  assets and income of the Agape Family Worship\nCentre\n6.\nThe principal Act is amended by inserting after section 12 the following section \u2014\n\u201cAssets and income of the Agape Family Worship Centre\n12A. (1) The assets and income of the corporation shall be applied exclusively\nin the furtherance of the purposes of the corporation and no portion\nof the assets and income of the corporation shall be distributed as\nprofit or dividend directly or indirectly to any member of the\ncorporation, unless the distribution is intended for the legitimate\npurpose of compensating a person for services to further the activities\nof the corporation or paying for expenses incurred on behalf of the\ncorporation.\n(2) Nothing in this section shall prevent the payment, in good faith, of \u2014\n(a)\nreasonable and proper remuneration to any officer or employee\nof the corporation or to any member of the corporation, in return\nfor any services actually rendered to the corporation;\n(b) the payment of interest on money lent by any member of the\ncorporation at a rate per year \u2014\n(i)\nnot exceeding two per cent less than the base lending rate\nprescribed for the time being by a clearing bank selected\nby the committee or three per cent, whichever is greater;\nor\n(ii) at a normal commercial rate; or\n(c)\nreasonable and proper rent for premises demised or let by any\nmember of the corporation or of its board of officers for the\npurposes of the corporation.\n\nSection 7\nChurches Incorporation (Amendment) Act, 2025\n\nPage 8\nAct 7 of 2025\nc\n\n(3) Any money raised by the corporation or the Church shall be applied\nto the specific purpose for which it was raised and such purposes may\ninclude the charitable aid of a member of the Church.\n(4) For the purposes of this section, \u201cofficer\u201d means any person\nappointed to the board of officers of the Corporation.\u201d.\n7.\nAmendment of section 13 - definitions and interpretation in this Part\n7.\nThe principal Act is amended in section 13(1), by deleting the words \u201cChurch in\nJamaica\u201d, wherever they appear, and substituting the words \u201cChurch in Jamaica and\nthe Cayman Islands\u201d.\n8.\nAmendment of section 15 - constitution of body corporate\n8.\nThe principal Act is amended in section 15(1) by deleting the words \u201cDiocese of\nJamaica\u201d and substituting the words \u201cDiocese of Jamaica and the Cayman Islands\u201d.\n9.\nAmendment of section 21 - vesting of property\n9.\nThe principal Act is amended in section 21 as follows \u2014\n(a)\nin subsection (1), by deleting the words \u201cChurch in Jamaica\u201d and\nsubstituting the words \u201cChurch in Jamaica and the Cayman Islands\u201d; and\n(b) in subsection (3), by deleting the table and substituting the following\ntable \u2014\n\n\u201cRegistration Section\nBlock\nParcel\nCayman Brac Central\n99A\n314\nCayman Brac Central\n99A\n315\nGeorge Town Central\n13D\n208\nGeorge Town Central\n13D\n212\nGeorge Town Central\n13D\n250\nGeorge Town Central\n13D\n251\u201d.\n\nChurches Incorporation (Amendment) Act, 2025\nSection 10\n\nc\nAct 7 of 2025\nPage 9\n\n10.\nInsertion of section 22A - assets and income of the Anglican Church of the\nCayman Islands\n10. The principal Act is amended by inserting after section 22 the following section \u2014\n\u201cAssets and income of the Anglican Church of the Cayman Islands\n22A. The assets and income of the Church shall be applied exclusively in the\nfurtherance of the purposes of the Church and no portion of it shall be\ndistributed as profit or dividend directly or indirectly to the controllers,\nshareholders, owners or members of the Church, unless such distribution\nis intended for \u2014\n(a) the legitimate purpose of compensating a person for services to\nfurther the purposes of the Church; or\n(b) paying for expenses incurred on behalf of the Church.\u201d.\n11.\nAmendment of section 23 - trust upon which property held\n11. The principal Act is amended in section 23(2)(c) by deleting the words \u201cChurch in\nJamaica\u201d wherever they appear and substituting the words \u201cChurch in Jamaica and\nthe Cayman Islands\u201d.\n12.\nAmendment of section 29 - definitions in this Part\n12. The principal Act is amended in section 29, in the definition of \u201cChurch\u201d, by\ninserting after the words \u201cSeventh-Day Adventists\u201d the words \u201cincluding its\nsuccessors and any body for the time being exercising its functions\u201d.\n13.\nAmendment of section 30 - creation of corporation and officers thereof\n13. The principal Act is amended in section 30 as follows \u2014\n(a)\nby repealing subsection (1) and substituting the following subsections \u2014\n\u201c(1) The persons holding the office of President, Executive Secretary,\nChief Financial Officer and any other persons who are appointed to\nthe Executive Committee are hereby declared to be a corporation, and\neach person holding such office or so appointed shall be a member\nof the corporation.\n(1A) The corporation shall have continuance forever and perpetual\nsuccession by the name of \u201cthe Cayman Islands Conference of\nSeventh-day Adventists\u201d and possessed of a corporate seal, if the\ncorporation elects to have a seal, and by that name may sue and be\nsued in all courts in the Cayman Islands.\n(1B) No deed or document purporting to be executed by the corporation\nshall be of any force or validity unless it is sealed with the corporate\nseal, if the corporation elects to have a seal, and signed by any two\nof the persons listed below \u2014\n\nSection 14\nChurches Incorporation (Amendment) Act, 2025\n\nPage 10\nAct 7 of 2025\nc\n\n(a)\nPresident of Cayman Islands Conference of Seventh-day\nAdventists;\n(b) Executive Secretary of the Cayman Islands Conference of\nSeventh-day Adventists; or\n(c)\nthe Chief Financial Officer of the Cayman Islands Conference\nof Seventh-day Adventists.\u201d; and\n(b) in subsections (3) and (4), by inserting after the words \u201cseal of the\ncorporation\u201d, wherever they appear, the words \u201c, if the corporation elects\nto have a seal,\u201d.\n14.\nInsertion of sections 31A and 31B - bye-laws; liability\n14. The principal Act is amended by inserting after section 31 the following sections \u2014\n\u201cBye-laws\n31A. (1) In respect of all matters within the province or discretion, or subject\nto the election, decision, control or management of the corporation,\nit shall be lawful for the Church in a meeting to agree the form of\nbye-laws which governs and to make such rules, in harmony with the\npurposes of the corporation \u2014\n(a)\nfor convening and adjourning the meetings of the corporation;\n(b) for conducting business;\n(c)\nfor carrying into effect the trust and powers vested in or\nconferred on the corporation;\n(d) for recording its proceedings; and\n(e)\ngenerally for the carrying out of the objects of the corporation,\nand to revoke, alter add or modify all or any of the bye-laws with the\napproval of the Inter-American Division of Seventh-day Adventists.\n(2) The bye-laws in force shall be binding on the members of the\ncorporation.\nLiability\n31B.(1) No member of the corporation shall be in any way personally\nresponsible as such or as a trustee of any of the lands, hereditament,\ngoods, chattels or effects for the time being vested in the corporation,\nfor or in respect of any debt due, owing or accruing, on or in reference\nto such trust property, nor for any involuntary loss suffered by the\ncorporation, nor for more money than shall come into the member\u2019s\nhands, nor for any injury which may be done by others to the said\ntrust property or any parts thereof.\n\nChurches Incorporation (Amendment) Act, 2025\nSection 15\n\nc\nAct 7 of 2025\nPage 11\n\n(2) The corporation shall not be liable for the debts or liabilities of any\nsubsidiary companies or any companies in which the corporation\nmay have shares unless specifically contracted otherwise in writing\nby the corporation.\u201d.\n15.\nAmendment of section 32 - vesting of property\n15. The principal Act is amended by inserting after section 33 the following section \u2014\n\u201cAssets and income of the Cayman Islands Conference of Seventhday Adventists\n33A. The principal Act is amended by repealing subsection (1) and substituting the\nfollowing subsection \u2014\n\u201c(1) The\nfollowing\npersons,\nnamely\nEitel\nNathaniel\nMorris\n(Administrative\nBishop),\nElaine\nJacqueline\nWillis\n(Secretary\/Treasurer), Clovis Hugh George Wilks (Executive Board\nMember), Richard Cornelius Fraser (Executive Board Member) are\ndeclared constituted and appointed a corporation or body corporate\nto have continuance forever and perpetual succession by name of\n\u201cThe New Testament Church of God\u201d possessed of a corporate seal\nand by that name may sue and be sued in all courts in the Islands.\u201d.\n21.\nRepeal and substitution of section 46 - signing officers of corporation\n21. The principal Act is amended by repealing section 46 and substituting the following\nsection \u2014\n\u201cSigning officers of corporation\n46. No deed or document purporting to be executed by the corporation shall\nbe valid unless it is sealed with the corporate seal and signed by the\nAdministrative Bishop and any two of the following persons \u2014\n(a)\nthe Secretary\/Treasurer in the Islands; or\n(b) a member of the Executive Board in the Islands.\u201d.\n22.\nAmendment of section 47 - vesting of property\n22.
