The name of the person or persons (the \u201capplicant\u201d) in respect of which the licence is sought. 2. The address of the principal or registered office of the applicant. 3. If the applicant is a company to which Part 9 of the Companies Act (2026 Revision) applies, the name and addresses of some one or more persons authorised under that Act to accept service on its behalf of process or notices. 4. If the applicant is a company, a copy, certified and authenticated under the public seal of the country, city or other place where it is incorporated or certified by a notary public therein, and, if not written in the English language, a certified English translation thereof, of each of \u2014 (a) its Certificate of Incorporation (by whatever name called); (c) not less than three references acceptable to the Authority, including one character reference for, and one reference verifying the good financial standing of \u2014 (i) each director, manager and officer of the applicant; and (ii) each shareholder and each beneficial shareholder who is a natural person holding more than ten percent of the applicant\u2019s issued share capital or total voting rights; and, for each such director, manager, officer or shareholder, a police or other certificate satisfactory to the Authority that such director, manager, officer or shareholder has not been convicted of a serious crime or any offence involving dishonesty; (d) the full names, addresses and nationalities of all directors, managers and officers of the applicant; (e) a questionnaire approved by the Authority and completed by all the directors, managers and officers of the applicant; (f) a questionnaire approved by the Authority and completed by each shareholder or beneficial shareholder who is a natural person holding more than ten percent of the applicant\u2019s issued share capital or total voting rights; (g) evidence acceptable to the Authority of the availability to the applicant at all times of adequate professional knowledge and experience in the SCHEDULE 1 Companies Management Regulations (2026 Revision) business of company management and the names of at least two of its directors actively engaged in the business of the applicant, one of whom shall possess a sound professional knowledge of, and experience in, the business of company management; (h) the names and addresses of the registered offices of all subsidiary companies of the applicant together with a statement as to how much of the capital of each such company constitutes an asset of the applicant; (i) the name and address of the firm of auditors practising in the Islands and approved by the Authority appointed to audit the accounts of the applicant; (j) a statement giving the date for the drawing up of the annual accounts of the applicant; and (k) Details of the current business activities, if any, of the applicant and its proposed activities if the licence applied for is granted including \u2014 (i) its business aims; (ii) a detailed statement setting out its proposed initial assets and its proposed assets and expected liabilities at the end of each of the two years next succeeding the date of such grant together with an estimate of expected income; (iii) particulars of its management structure and personnel; (iv) a statement as to its customer base; and (v) a copy of its most recent balance sheet and details of its fee earnings.\", \"element\": \"section\", \"heading\": null}, {\"eId\": \"sec_8\", \"num\": \"8.\", \"text\": \"If the applicant is a company incorporated outside the Islands \u2014 (a) a list, certified by its secretary, containing the names, addresses and nationalities of each of the directors and senior officers; (d) a chart showing the relationship of the applicant to its subsidiaries and affiliates and any parent as defined in section 4; (e) details of the applicant\u2019s auditor to be approved under section 13 including \u2014 (i) the name and address of the auditor; (iii) the reason for wishing to obtain the licence sought and the applicant\u2019s proposed business activities if the licence is granted including \u2014 (A) its business aims, including details of the type of company management it will undertake; In these regulations \u2014\n\n\u201cprincipal Act\u201d means the Companies Management Act (2025 Revision).\n2.\nForm of application\n2.\nAn application for a licence under section 5(1) shall include the information specified\nin Schedule 1.\n3.\nForm of licence\n3.\nA licence granted under section 5(3) shall be in the form set out in Schedule 2.\n4.\nFees\n4.\nThe prescribed fee for the purpose of a provision of the principal Act specified in\ncolumn 2 of the table of fees set out in Schedule 3 is the amount specified in column\n4 opposite that provision.\n\nCompanies Management Regulations (2026 Revision)\n\nSCHEDULE 1\n\nc\nRevised as at 31st December, 2025\nPage 7\n\n SCHEDULE 1\n(regulation 3)\n\nInformation to be provided by a company making application under section 5(3) of\nthe principal Act for the issue of a licence to carry on the business of company\nmanagement.\n\n1.\nThe name of the person or persons (the \u201capplicant\u201d) in respect of which the licence is\nsought.\n2.\nThe address of the principal or registered office of the applicant.\n3.\nIf the applicant is a company to which Part 9 of the Companies Act (2026 Revision)\napplies, the name and addresses of some one or more persons authorised under that\nAct to accept service on its behalf of process or notices.\n4.\nIf the applicant is a company, a copy, certified and authenticated under the public seal\nof the country, city or other place where it is incorporated or certified by a notary\npublic therein, and, if not written in the English language, a certified English\ntranslation thereof, of each of \u2014\n(a)\nits Certificate of Incorporation (by whatever name called); and\n(b) its Memorandum and Articles of Association, or other constitutive\ndocuments (by whatever name called).\n5.\nIf the applicant is a natural person \u2014\n(a)     (i)\na questionnaire approved by the Authority and completed by the\napplicant;\n(ii) not less than three references acceptable to the Authority, including\none character reference for the applicant, and one reference verifying\nthe good financial standing of the applicant and a police or other\ncertificate satisfactory to the Authority that the applicant has not been\nconvicted of a serious crime or any offence involving dishonesty; and\n(iii) evidence acceptable to the Authority of the applicant\u2019s professional\nknowledge of, and experience in, the business of company\nmanagement;\n(b)      (i)\ndetails of the applicant\u2019s current business activities, if any, and the\nproposed business activities if the licence applied for is granted\nincluding \u2014\n(A) the business aims of the applicant including details of the type\nof company management to be undertaken;\n\nSCHEDULE 1\nCompanies Management Regulations (2026 Revision)\n\nPage 8\nRevised as at 31st December, 2025\nc\n\n(B) particulars of the management structure and personnel of the\napplicant\u2019s business;\n(C) a statement of the likely number and origin of the companies to\nbe managed by the applicant; and\n(D) a statement of the applicant\u2019s financial condition and details of\nthe applicant\u2019s fee earnings, if any;\n(ii) details of the applicant\u2019s auditor to be approved by the Authority\nunder section 13 including \u2014\n(A) the name and address of the auditor;\n(B) the professional body of which the auditor is a member, if\napplicable;\n(C) the partner responsible, if applicable; and\n(D) confirmation from the auditor that the applicant has been\naccepted as a client; and\n(iii) the date for the drawing up of the annual accounts of the applicant.\n6.\nIf the applicant is a partnership \u2014\n(a)   (i)\na questionnaire approved by the Authority and completed by all the\npartners of the applicant;\n(ii) not less than three references acceptable to the Authority, including\none character reference for each partner of the applicant, and one\nreference verifying the good financial standing of each partner of the\napplicant and a police or other certificate satisfactory to the Authority\nthat each partner has not been convicted of a serious crime or any\noffence involving dishonesty;\n(iii) evidence acceptable to the Authority of at least one of the partner\u2019s\nprofessional knowledge of, and experience in, the business of\ncompany management;\n (b)     (i)\ndetails of the applicant\u2019s current business activities, if any, and the\nproposed business activities if the licence applied for is granted\nincluding \u2014\n(A) the business aims of the applicant including details of the type\nof company management to be undertaken;\n(B) particulars of the management structure and personnel of the\napplicant\u2019s business;\n(C) a statement of the likely number and origin of the companies to\nbe managed by the applicant; and\n(D) a statement of the applicant\u2019s financial condition and details of\nits fee earnings, if any;\n\nCompanies Management Regulations (2026 Revision)\n\nSCHEDULE 1\n\nc\nRevised as at 31st December, 2025\nPage 9\n\n(ii) details of the applicant\u2019s auditor to be approved by the Authority\nunder section 13 including \u2014\n(A) the name and address of the auditor;\n(B) the professional body of which the auditor is a member, if\napplicable;\n(C) the partner responsible, if applicable; and\n(D) confirmation from the auditor that the applicant has been\naccepted as a client; and\n(iii) the date for the drawing up of the annual accounts of the applicant.\n7.\nIf the applicant is a company incorporated in the Islands \u2014\n(a)\nthe full names, addresses and nationalities of each shareholder who holds\nmore than ten per cent of the applicant\u2019s issued share capital or total voting\nrights;\n(b) the annual accounts, for the two years immediately preceding the year of\napplication, of each shareholder which is a body corporate holding more\nthan ten percent of the applicant\u2019s issued share capital or total voting\nrights, together with similar accounts for the parent body, if any, of each\nsuch body corporate;\n(c)\nnot less than three references acceptable to the Authority, including one\ncharacter reference for, and one reference verifying the good financial\nstanding of \u2014\n(i)\neach director, manager and officer of the applicant; and\n(ii) each shareholder and each beneficial shareholder who is a natural\nperson holding more than ten percent of the applicant\u2019s issued share\ncapital or total voting rights;\nand, for each such director, manager, officer or shareholder, a police or\nother certificate satisfactory to the Authority that such director, manager,\nofficer or shareholder has not been convicted of a serious crime or any\noffence involving dishonesty;\n(d) the full names, addresses and nationalities of all directors, managers and\nofficers of the applicant;\n(e)\na questionnaire approved by the Authority and completed by all the\ndirectors, managers and officers of the applicant;\n(f)\na questionnaire approved by the Authority and completed by each\nshareholder or beneficial shareholder who is a natural person holding more\nthan ten percent of the applicant\u2019s issued share capital or total voting\nrights;\n(g) evidence acceptable to the Authority of the availability to the applicant at\nall times of adequate professional knowledge and experience in the\n\nSCHEDULE 1\nCompanies Management Regulations (2026 Revision)\n\nPage 10\nRevised as at 31st December, 2025\nc\n\nbusiness of company management and the names of at least two of its\ndirectors actively engaged in the business of the applicant, one of whom\nshall possess a sound professional knowledge of, and experience in, the\nbusiness of company management;\n(h) the names and addresses of the registered offices of all subsidiary\ncompanies of the applicant together with a statement as to how much of\nthe capital of each such company constitutes an asset of the applicant;\n(i)\nthe name and address of the firm of auditors practising in the Islands and\napproved by the Authority appointed to audit the accounts of the applicant;\n(j)\na statement giving the date for the drawing up of the annual accounts of\nthe applicant; and\n(k) Details of the current business activities, if any, of the applicant and its\nproposed activities if the licence applied for is granted including \u2014\n(i)\nits business aims;\n(ii) a detailed statement setting out its proposed initial assets and its\nproposed assets and expected liabilities at the end of each of the two\nyears next succeeding the date of such grant together with an estimate\nof expected income;\n(iii) particulars of its management structure and personnel;\n(iv) a statement as to its customer base; and\n(v) a copy of its most recent balance sheet and details of its fee earnings.\n8.\nIf the applicant is a company incorporated outside the Islands \u2014\n(a)\na list, certified by its secretary, containing the names, addresses and\nnationalities of each of the directors and senior officers;\n(b) a questionnaire approved by the Authority and completed by all the\ndirectors, managers and officers of the applicant;\n(c)\na questionnaire approved by the Authority and completed by each\nshareholder or beneficial share holder who is a natural person holding\nmore than ten per cent of the applicant\u2019s issued share capital or total voting\nrights;\n(d) a chart showing the relationship of the applicant to its subsidiaries and\naffiliates and any parent as defined in section 4;\n(e)\ndetails of the applicant\u2019s auditor to be approved under section 13\nincluding \u2014\n(i)\nthe name and address of the auditor;\n(ii) the professional body of which the auditor is a member, if applicable;\nand\n(iii) the partner responsible, if applicable;\n\nCompanies Management Regulations (2026 Revision)\n\nSCHEDULE 1\n\nc\nRevised as at 31st December, 2025\nPage 11\n\n(f)\nthe date for the drawing up of the annual accounts of the applicant;\n(g) the annual accounts, for the two years immediately preceding the year of\napplication, of each shareholder which is a body corporate holding more\nthan ten per cent of the applicant\u2019s shared capital or total voting rights,\ntogether with similar accounts for the parent body, if any, of each body\ncorporate;\n(h) not less than three references acceptable to the Authority, including one\ncharacter reference for, and one reference verifying the good financial\nstanding of \u2014\n(i)\neach director, manager and officer of the applicant; and\n(ii) each shareholder and each beneficial shareholder who is a natural\nperson holding more than ten percent of the applicant\u2019s issued share\ncapital or total voting rights;\nand for each such director, manager, officer or shareholder, a police or\nother certificate satisfactory to the Authority that such director, manager,\nofficer or shareholder has not been convicted of a serious crime or any\noffence involving dishonesty;\n(i)\na letter or letters, addressed to the Authority from the applicant\ncontaining \u2014\n(i)\ndetails of the applicant\u2019s history and current business activities;\n(ii) a brief description of each of the applicant\u2019s subsidiaries and\naffiliates;\n(iii) the reason for wishing to obtain the licence sought and the applicant\u2019s\nproposed business activities if the licence is granted including \u2014\n(A) its business aims, including details of the type of company\nmanagement it will undertake;\n(B) particulars of its management structure and personnel; and\n(C) a statement of the likely number and origin of the companies to\nbe managed by the applicant; and\n(iv) details of any authorisation currently held to carry on its business in\ncountries outside the Islands, together with the name and address of\nthe relevant supervisory or regulatory authority.\n9.\nEvidence satisfactory to the Authority that the required minimum net worth is (or,\nbefore the grant of the licence, will be) in place.\n10. Details of any professional services to be provided to the applicant to assist in carrying\non the business of company management.\n11.
