Communications Technology (Licence Fees) Regulations, 2025 SL 62 of 2025 SCHEDULE 10 (regulation 13) Licence Fees Guidelines How will royalty and regulatory fees be calculated? 1. (1) The royalty and regulatory fees are calculated, and paid in arrears, on a quarterly basis with an annual true-up mechanism based on the licensee\u2019s annual audited financial statements. (2) For each licensee, licence fees include a royalty fee and a regulatory fee. The only exceptions are licensees whose licences exempt them from the payment of the royalty fee. In such cases, the licence fee will be comprised of the regulatory fee only. (3) The royalty fee, which is set by the Government, is 6% of each licensee\u2019s revenues. (4) The regulatory fee, which is based on the Office\u2019s costs for regulating commercially operated ICT services in the ICT sector, is pro-rated across all licensees based on each licensee\u2019s quarterly revenues as a percentage of all licensees\u2019 quarterly revenues. (5) Both the royalty fee and the regulatory fee are to be remitted by licensees on a quarterly basis to the Office. (6) The Office will use licensees\u2019 revenues for the quarter immediately preceding the quarter for which licence fees are due for purposes of calculating each licensee\u2019s regulatory fee (7) The regulatory fee is payable by each licensee during the Office\u2019s financial year (1st January to 31st December). When the results for a licensee\u2019s financial year are finalised and it transpires that the audited revenues are higher than the sum of the unaudited quarterly revenues which were used to calculate licence fees during the year, the licensee will be liable for an additional royalty fee equal to 6% of the difference between the audited revenues and the sum of its unaudited quarterly revenues. This will be payable forthwith on submission of the licensee\u2019s annual audited financial statements, which are due no later than three months after the end of its financial year. If, on the other hand, the licensee\u2019s audited revenues are lower than the sum of its unaudited revenues, the Office will calculate and apply an equivalent credit to the licensee\u2019s royalty fee for the current year. In either case, the Office does not anticipate collecting additional regulatory fees. Information and Communications Technology (Licence Fees) Regulations, 2025 Regulation 14 SL 62 of 2025 What constitutes Revenues for royalty and regulatory fee purposes? 2. (1) The revenue base for purposes of calculating the royalty fee and the regulatory fee is defined as the licensee\u2019s turnover less payments made to domestic ICT licensees for wholesale, interconnection and infrastructure services and settlement payments made to international carriers for international traffic and non-recurring extraordinary items of receipt that are not made in the ordinary course of business. (2) Payments made by an ICT licensee to another domestic ICT licensee for wholesale, interconnection and access to and sharing of infrastructure services may be deducted by the licensee making such payments from its turnover. The ICT licensee providing wholesale, interconnection and access to or sharing of infrastructure services will report such payments as part of its revenues. Licensees may also deduct settlement payments made to international carriers for international traffic. A deduction is allowed for non-recurring extraordinary items of receipt, such as that from real estate sales, which are not made in the ordinary course of business. (3) A licensee must report its quarterly turnover and quarterly revenues in a licence fee report. Regulation 14 Information and Communications Technology (Licence Fees) Regulations, 2025 SL 62 of 2025 When are royalty and regulatory fees payable? 3. (1) Royalty and regulatory fees are payable no later than 15 days following the end of each quarter. The payment dates are as follows \u2014 Due on or before For the Quarter Beginning 15th April 1st January 15th July 1st April 15th October 1st July 15th January 1st October (2) In addition, no later than three months following the end of a licensee\u2019s financial year-end, the licensee is required to provide audited financial statements with any additional royalty fee payment arising from the year-end adjustment. (3) Where a payment date falls on a weekend or a holiday, licence fees are due on the first business day immediately following the weekend or holiday. Procedure for payment of royalty or regulatory fees 4. The following procedures will be used for the payment of royalty and regulatory fees \u2014 (1) Quarterly \u2014 (a) Thirty days prior to the beginning of each quarter, the Office will issue, to each licensee, an invoice for the regulatory fee. (b) No later than fifteen days following the end of each quarter, each licensee will provide \u2014 (i) a licence fee report; (ii) unaudited financial statements; and (iii) payment (by cheque or electronic fund transfer) for the licence fee payable (both royalty and regulatory fees), as calculated per the licensee\u2019s licence fee report. (c) The licence fee report must be signed by an officer of the licensee attesting to the veracity and completeness of the information provided and that the licensee has reported Information and Communications Technology (Licence Fees) Regulations, 2025 Regulation 14 SL 62 of 2025 all turnover. If a licensee\u2019s turnover, revenue or licence fee payment differs from the precise details contained in the licence fee report, the Office may require the licensee to provide further information in respect of the licence fees calculated. (d) Additionally, the Office may request further information at any time and in any format considered advisable. (e) Within ninety days of receiving a licensee\u2019s licence fee report and unaudited financial statements (or audited financial statements, as the case may be), if the Office disputes the exclusion of any item from the licensee\u2019s turnover or the inclusion of any item deducted from the licensee\u2019s turnover for the purpose of calculating its revenues, the Office may serve the licensee with a dispute notice. (f)  The procedures for resolving such a dispute are set out in Section 2 of Annex 2 to each ICT Licence. (2) Annually \u2014 (a) No later than three months following the end of the licensee\u2019s financial year, each licensee must provide a full set of audited financial statements to the Office. (b) If the audited financial statements, as accepted by the Office, show that the licensee has underpaid the licence fee, a further royalty fee payment in the amount of the 6% of the difference between the audited statements and the unaudited statements shall be paid to the Office. (c) In the event the audited financial statements show that the Licensee has overpaid licence fees, a credit in the amount of 6% of the difference shall be applied to the licensee\u2019s royalty fee for the current year. (d) The licensee\u2019s audited financial statements are to include at the licensee\u2019s option either \u2014 (i) an audited Statement of Financial Position, Statement of Comprehensive Income, Statement of Cash Flows, Annual Turnover and Annual Revenue statements (including audits of amounts of Annual Turnover earned as money or money's worth, Annual Turnover earned from Affiliates, payments to Affiliates, and other deductions from Turnover) and such other statements as the Office Regulation 14 Information and Communications Technology (Licence Fees) Regulations, 2025 SL 62 of 2025 may reasonably prescribe, all in respect of the Licensee's business in or from the Cayman Islands for a Licensee Financial Year during the Term of the Licence; or (ii) audited statements of Annual Turnover and Annual Revenue (including audits of amounts of Annual Turnover earned as money or money's worth, Annual Turnover earned from Affiliates, payments to Affiliates, and other deductions from Turnover) and such other statements as the Office may reasonably prescribe, all in respect of the licensee's business in or from the Cayman Islands for a Licensee Financial Year during the Term of the Licence. (e) With respect to licensees\u2019 audited financial statements \u2014 (i) only auditors from the Cayman Islands Monetary Authority's Current List of Approved Local Auditors or any other locally certified public accounting firm that is approved by the Office in advance of the licensee\u2019s financial year end, will be accepted by the Office as the auditors of record for Licensee\u2019s audited financial statements; and (ii)  consistent with the Cayman Islands Monetary Authority's Policy for Local Auditor Sign Off, the Office will not require that all of the audit work is carried out locally or carried out solely by the approved auditor of record. (f) Licensees are responsible for ensuring that they make payment of the quarterly amount of the licence fees calculated on the basis of revenues on or before the due date. The Office will issue an acknowledgement for fees received. (g) Where a date falls on a weekend or holiday, the due date will automatically be the first business day immediately after the weekend or holiday. Automated payments should be made to the Office\u2019s Bank account, details of which will be provided to each licensee. FEES)\nREGULATIONS, 2025\n(SL 62 of 2025)\nIn exercise of the powers conferred by section 97(3)(a)(i) of the Information\nand Communications Technology Act (2019 Revision), the Utility Regulation\nand Competition Office makes the following Regulations \u2014\n1.\nCitation\n1.\nThese Regulations may be cited as the Information and Communications\nTechnology (Licence Fees) Regulations, 2025.\n2.\nDefinition\n2.\nIn these Regulations \u2014\n\u201cAct\u201d means the Information and Communications Technology Act\n(2019 Revision);\n\u201cpublic general holiday\u201d has the meaning assigned by the Public\nHolidays Act (2007 Revision);\n\u201cICT\u201d means Information and Communications Technology;\n\u201cICT Notice\u201d means the notice issued by the Office and published\nin the Gazette in accordance with section 23(2) of the Act\n\nRegulation 3\nInformation and Communications Technology (Licence Fees)\nRegulations, 2025\n\nPage 6\n SL 62 of 2025\n\nspecifying which types of ICT networks and ICT services require\nlicences;\n\u201cVSAT\u201d means Very Small Aperture Terminal.\n3.\nApplication\n3.\nThese Regulations apply to licence fees payable to the Office for ICT\nnetworks and ICT services which are specified in the ICT Notice.\n4\nMajor public ICT network\n4.\n(1) A person applying for a licence for, or a licensee of, a major public\nICT network, shall pay the licence fees set out in Schedule 1.\n(2) A licensee of a major public ICT network, shall pay, in addition to\nthe licence fees set out in Schedule 1, a royalty fee and a regulatory\nfee.\n5.\nRadio stations\n5.\nA person applying for a licence for, or a licensee of, a radio station, shall\npay the licence fees set out in Schedule 2.\n6.\nTransmitters\n6.\nA person applying for a licence for, or a licensee of, a transmitter, shall\npay the licence fees set out in Schedule 3.\n7.\nSpectrum assignment\n7.\nA person applying for a licence for, or a licensee of, a transmitter,\nfrequency or channel assignment, shall pay the licence fees set out in\nSchedule 4.\n8.\nMiscellaneous licence fees for radio dealer\n8.\nA person applying for a licence for, or a licensee of, miscellaneous\nlicence fees as a radio dealer, shall pay the licence fees set out in Schedule\n5.\n9.\nICT services\n9.\n(1) A person applying for a licence for, or a licensee of, an ICT service,\nshall pay the licence fees set out in Schedule 6.\n(2) A licensee of an ICT service, shall pay, in addition to the licence\nfees set out in Schedule 6, a royalty fee and a regulatory fee.\n10.\nService licence\n10. A person applying for a licence for, or a licensee of, a class licence, shall\npay the licence fees set out in Schedule 8.\n12.\nOccasional or experimental ICT services or ICT networks\n12. A person applying for, or a licensee of, an occasional or experimental\nICT network or ICT service, shall pay the licence fees set out in Schedule\n9.\n13.\nRoyalty fee and regulatory fee\n13.(1)\nA royalty fee and a regulatory fee shall be payable in accordance\nwith this regulation and the licence fees guidelines in Schedule 10.\n(2) At least thirty calendar days prior to the start of each quarter, the\nOffice shall issue to a licensee an invoice in the amount of the\nregulatory fee payable.\n(3) A licensee shall be guided by the calculation and filing procedures\nfor the royalty fees and regulatory fee under this regulation and by\nthe licence fees guidelines in Schedule 10.\n14.\nTime for payment of licence fee\n14. A licence fee payable to the Office under the Act may be made\u2014\n(a) in person at the Office between the hours of 8:30 a.m. and 5:00\np.m. every Monday to Friday, except on a public general\nholiday or a day that the Office is otherwise closed to the\npublic;\n(b) online on such portal as determined and notified by the Office;\nor\n(c) in such other manner as may be determined 2025\n\nSCHEDULE 10\n(regulation 13)\nLicence Fees Guidelines\nHow will royalty and regulatory fees be calculated?\n1.\n(1) The royalty and regulatory fees are calculated, and paid in arrears,\non a quarterly basis with an annual true-up mechanism based on the\nlicensee\u2019s annual audited financial statements.\n(2) For each licensee, licence fees include a royalty fee and a regulatory\nfee. The only exceptions are licensees whose licences exempt them\nfrom the payment of the royalty fee. In such cases, the licence fee\nwill be comprised of the regulatory fee only.\n(3) The royalty fee, which is set by the Government, is 6% of each\nlicensee\u2019s revenues.\n(4) The regulatory fee, which is based on the Office\u2019s costs for\nregulating commercially operated ICT services in the ICT sector, is\npro-rated across all licensees based on each licensee\u2019s quarterly\nrevenues as a percentage of all licensees\u2019 quarterly revenues.\n(5) Both the royalty fee and the regulatory fee are to be remitted by\nlicensees on a quarterly basis to the Office.\n(6) The Office will use licensees\u2019 revenues for the quarter immediately\npreceding the quarter for which licence fees are due for purposes of\ncalculating each licensee\u2019s regulatory fee\n(7) The regulatory fee is payable by each licensee during the Office\u2019s\nfinancial year (1st January to 31st December). When the results for\na licensee\u2019s financial year are finalised and it transpires that the\naudited revenues are higher than the sum of the unaudited quarterly\nrevenues which were used to calculate licence fees during the year,\nthe licensee will be liable for an additional royalty fee equal to 6%\nof the difference between the audited revenues and the sum of its\nunaudited quarterly revenues. This will be payable forthwith on\nsubmission of the licensee\u2019s annual audited financial statements,\nwhich are due no later than three months after the end of its financial\nyear. If, on the other hand, the licensee\u2019s audited revenues are lower\nthan the sum of its unaudited revenues, the Office will calculate and\napply an equivalent credit to the licensee\u2019s royalty fee for the\ncurrent year. In either case, the Office does not anticipate collecting\nadditional regulatory fees.\n\nInformation and Communications Technology (Licence Fees)\nRegulations, 2025\nRegulation 14\n\nSL 62 of 2025\nPage 19\n\nWhat constitutes Revenues for royalty and regulatory fee\npurposes?\n2.\n(1) The revenue base for purposes of calculating the royalty fee and the\nregulatory fee is defined as the licensee\u2019s turnover less payments\nmade to domestic ICT licensees for wholesale, interconnection and\ninfrastructure services and settlement payments made to\ninternational carriers for international traffic and non-recurring\nextraordinary items of receipt that are not made in the ordinary\ncourse of business.\n(2) Payments made by an ICT licensee to another domestic ICT\nlicensee for wholesale, interconnection and access to and sharing of\ninfrastructure services may be deducted by the licensee making\nsuch payments from its turnover. The ICT licensee providing\nwholesale, interconnection and access to or sharing of infrastructure\nservices will report such payments as part of its revenues. Licensees\nmay also deduct settlement payments made to international carriers\nfor international traffic. A deduction is allowed for non-recurring\nextraordinary items of receipt, such as that from real estate sales,\nwhich are not made in the ordinary course of business.\n(3) A licensee must report its quarterly turnover and quarterly revenues\nin a licence fee report.\n\nRegulation 14\nInformation and Communications Technology (Licence Fees)\nRegulations, 2025\n\nPage 20\n SL 62 of 2025\n\nWhen are royalty and regulatory fees payable?\n3.\n(1) Royalty and regulatory fees are payable no later than 15 days\nfollowing the end of each quarter. The payment dates are as\nfollows \u2014\nDue on or before\nFor the Quarter Beginning\n15th April\n1st January\n15th July\n1st April\n15th October\n1st July\n15th January\n1st October\n(2) In addition, no later than three months following the end of a\nlicensee\u2019s financial year-end, the licensee is required to provide\naudited financial statements with any additional royalty fee\npayment arising from the year-end adjustment.\n(3) Where a payment date falls on a weekend or a holiday, licence fees\nare due on the first business day immediately following the\nweekend or holiday.\n\nProcedure for payment of royalty or regulatory fees\n4.\nThe following procedures will be used for the payment of royalty and\nregulatory fees \u2014\n(1) Quarterly \u2014\n(a) Thirty days prior to the beginning of each quarter, the\nOffice will issue, to each licensee, an invoice for the\nregulatory fee.\n(b) No later than fifteen days following the end of each\nquarter, each licensee will provide \u2014\n(i)\na licence fee report;\n(ii) unaudited financial statements; and\n(iii) payment (by cheque or electronic fund transfer) for\nthe licence fee payable (both royalty and regulatory\nfees), as calculated per the licensee\u2019s licence fee\nreport.\n(c) The licence fee report must be signed by an officer of the\nlicensee attesting to the veracity and completeness of the\ninformation provided and that the licensee has reported\n\nInformation and Communications Technology (Licence Fees)\nRegulations, 2025\nRegulation 14\n\nSL 62 of 2025\nPage 21\n\nall turnover. If a licensee\u2019s turnover, revenue or licence\nfee payment differs from the precise details contained in\nthe licence fee report, the Office may require the licensee\nto provide further information in respect of the licence\nfees calculated.\n(d) Additionally, the Office may request further information\nat any time and in any format considered advisable.\n(e) Within ninety days of receiving a licensee\u2019s licence fee\nreport and unaudited financial statements (or audited\nfinancial statements, as the case may be), if the Office\ndisputes the exclusion of any item from the licensee\u2019s\nturnover or the inclusion of any item deducted from the\nlicensee\u2019s turnover for the purpose of calculating its\nrevenues, the Office may serve the licensee with a\ndispute notice.\n(f)  The procedures for resolving such a dispute are set out\nin Section 2 of Annex 2 to each ICT Licence.\n\n(2) Annually \u2014\n(a) No later than three months following the end of the\nlicensee\u2019s financial year, each licensee must provide a\nfull set of audited financial statements to the Office.\n(b) If the audited financial statements, as accepted by the\nOffice, show that the licensee has underpaid the licence\nfee, a further royalty fee payment in the amount of the\n6% of the difference between the audited statements and\nthe unaudited statements shall be paid to the Office.\n(c) In the event the audited financial statements show that\nthe Licensee has overpaid licence fees, a credit in the\namount of 6% of the difference shall be applied to the\nlicensee\u2019s royalty fee for the current year.\n(d) The licensee\u2019s audited financial statements are to include\nat the licensee\u2019s option either \u2014\n(i)\nan audited Statement of Financial Position,\nStatement of Comprehensive Income, Statement of\nCash Flows, Annual Turnover and Annual\nRevenue statements (including audits of amounts\nof Annual Turnover earned as money or money's\nworth, Annual Turnover earned from Affiliates,\npayments to Affiliates, and other deductions from\nTurnover) and such other statements as the Office\n\nRegulation 14\nInformation and Communications Technology (Licence Fees)\nRegulations, 2025\n\nPage 22\n SL 62 of 2025\n\nmay reasonably prescribe, all in respect of the\nLicensee's business in or from the Cayman Islands\nfor a Licensee Financial Year during the Term of\nthe Licence; or\n(ii) audited statements of Annual Turnover and Annual\nRevenue (including audits of amounts of Annual\nTurnover earned as money or money's worth,\nAnnual Turnover earned from Affiliates, payments\nto Affiliates, and other deductions from Turnover)\nand such other statements as the Office may\nreasonably prescribe, all in respect of the licensee's\nbusiness in or from the Cayman Islands for a\nLicensee Financial Year during the Term of the\nLicence.\n(e) With\nrespect\nto\nlicensees\u2019\naudited\nfinancial\nstatements \u2014\n(i)\nonly auditors from the Cayman Islands Monetary\nAuthority's Current List of Approved Local\nAuditors or any other locally certified public\naccounting firm that is approved by the Office in\nadvance of the licensee\u2019s financial year end, will be\naccepted by the Office as the auditors of record for\nLicensee\u2019s audited financial statements; and\n(ii)  consistent with the Cayman Islands Monetary\nAuthority's Policy for Local Auditor Sign Off, the\nOffice will not require that all of the audit work is\ncarried out locally or carried out solely by the\napproved auditor of record.\n(f)\nLicensees are responsible for ensuring that they make\npayment of the quarterly amount of the licence fees\ncalculated on the basis of revenues on or before the due\ndate. The Office will issue an acknowledgement for fees\nreceived.\n(g) Where a date falls on a weekend or holiday, the due date\nwill automatically be the first business day immediately\nafter the weekend or holiday.\n\nInformation and Communications Technology (Licence Fees)\nRegulations, 2025\nRegulation 14\n\nSL 62 of 2025\nPage 23\n\nAutomated payments\n5.\nAutomated payments should be made to the Office\u2019s Bank account,\ndetails of which will be provided to each licensee.
