Limited Liability Companies Act (2023 Revision) LIMITED LIABILITY COMPANIES (FEES) (AMENDMENT) (NO. 2) REGULATIONS,2024 In exercise of the powers conferred by section 69 of the Limited Liability Companies Act (2023 Revision), the Cabinet makes the following Regulations — Citation and commencement (1) These Regulations may be cited as the Limited Liability Companies (Fees) (Amendment) (No. 2) Regulations, 2024. (2) These Regulations come into force immediately after the coming into force of the Limited Liability Companies (Amendment and Validation) Act, 2024. Amendment of the Schedule to the Limited Liability Companies (Fees) Regulations (2020 Revision) - fees The Limited Liability Companies (Fees) Regulations (2020 Revision) are amended in the Schedule — (a) by deleting items Nos. 11 and 12 and substituting the following items and fees — “No. Express fee under section 59B(1)(a) or (b) Express fee under section 59B(1)(c)

(b) in items Nos. 13, 14 and 15, by deleting the words “to section 69(c)” and substituting the words “to section 59A”, respectively; by deleting item No. 16 and substituting the following item and fee — “No. Fee pursuant to section 59A for the issue of any certificate (other than a certificate specified in this Schedule) and (d) by inserting after item No. 20, the following items and fees — “No. Refund processing fee Pre-clearance fee for a merger under Fee for a merger under section 46, 50 or $1,000 per constituent entity Fee for correction of error made by a company on its filed documents Fee for a customised certificate Fee for a customised letter requested by a company Express fee with respect to a merger under section 46, 50 or 51 per constituent entity Express fee with respect to deregistration under section 55 Express fee with respect to reregistration under section 56 Express fee for a customised certificate Express fee for a customised letter Made in Cabinet the 17th day of December, 2024.
